Sayers are, respectively, the Treasurer/Comptroller, Director of Human Resources and General Counsel of the Woods Hole, Martha's Vineyard and Nantucket Steamship Authority (the "Authority") who are appointed either by the Authority's Members or by its General Manager, Wayne C. Davis, Parent and Sayers have disclosed to the Members and General Manager the nature and circumstances of a particular matter involving the Authority's wage and salary program for its non-union employees that may be considered by the Authority in which they have a financial interest. That matter is described in their letter to you, dated May 15, 2017. This letter is to inform you that, on May 23, 2017, the Authority's Members voted, and Mr. Lamson agrees, that Messrs. Davis, Parent and Sayers in the matter is not so substantial as to be deemed likely to affect the integrity of the services which the Commonwealth of Massachusetts and the Authority may expect from them. However, we also note that the Authority's Members, as the Authority's governing body, will have ultimate responsibility for making any decisions regarding the matter described in their letter and that their role will be to analyze the underlying issues involved and make recommendations to the Members for their consideration.
